These Terms of Service ("Terms") govern your use of the website recruitforge.ai and the recruitment automation services provided by RecruitForge LLC ("RecruitForge", "we", "us", or "our").

By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Service Description

RecruitForge provides AI-powered recruitment automation services, including but not limited to:

• CV Screening: Automated analysis and shortlisting of candidate applications
• Outreach Automation: Personalised email campaigns to candidates and prospects
• Interview Scheduling: Automated booking and calendar management
• CRM/ATS Integration: Connection with systems including Bullhorn, Vincere, and Loxo
• AI Audit: Workflow analysis and automation roadmap services

Specific service features and limitations vary by subscription tier as detailed on our pricing page and in your service agreement.

2. Account Registration

To use our services, you may need to provide account information. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorised access
• Accept responsibility for all activities under your account

3. Payment Terms

3.1 Pricing

Our services are offered at the prices published on our website or as agreed in your service contract. Prices are in US Dollars (USD) unless otherwise stated.

3.2 Payment Schedule

• One-Time Fees (Setup, AI Audit): Due upon service agreement execution, payable before work begins
• Monthly Subscriptions: Billed monthly in advance on the same calendar day as your start date
• Payment Methods: Credit card, ACH, or wire transfer as arranged

3.3 Late Payments

Invoices not paid within 14 days of the due date may result in service suspension. We reserve the right to charge interest at 1.5% per month on overdue amounts.

4. Cancellation Policy

4.1 Effect of Cancellation

• Services continue until the end of the current billing period
• No refunds for partial months or unused service time
• Setup fees are non-refundable once work has commenced
• All your data will be exported and provided upon request

4.2 Our Right to Terminate

We may suspend or terminate your access immediately if you:

• Breach these Terms
• Fail to make timely payments
• Use the services for unlawful purposes
• Engage in activity that harms our systems or other users

5. Acceptable Use

You agree not to use our services to:

• Send spam or unsolicited communications in violation of applicable laws
• Violate any laws, including CAN-SPAM, GDPR, or employment regulations
• Transmit malicious code or interfere with our systems
• Attempt to gain unauthorised access to any systems
• Scrape, copy, or redistribute our technology or content
• Discriminate against candidates based on protected characteristics

6. Intellectual Property

6.1 Our IP

All intellectual property rights in the RecruitForge platform, technology, website, branding, and documentation remain our exclusive property. You receive a limited, non-exclusive, non-transferable licence to use our services during your subscription.

6.2 Your Data

You retain ownership of all candidate data, client information, and content you provide to us. You grant us a licence to process this data solely to provide the services.

6.3 Feedback

Any feedback, suggestions, or ideas you provide may be used by us to improve our services without obligation to you.

7. Confidentiality

We will treat your business information and candidate data as confidential. We will not disclose your information to third parties except:

• To service providers necessary to deliver our services (bound by confidentiality)
• As required by law or legal process
• With your prior written consent

8. Limitation of Liability

8.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECRUITFORGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or data restoration costs
• Business interruption
• Reputational damage

8.2 Liability Cap

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO RECRUITFORGE IN THE 12 MONTHS PRECEDING THE CLAIM.

8.3 No Guarantees

We do not guarantee specific results, including placement rates, response rates, or hiring outcomes. Our services are tools to enhance your recruitment process, not guarantees of success.

9. Indemnification

You agree to indemnify, defend, and hold harmless RecruitForge, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the services
• Your violation of these Terms
• Your violation of any third-party rights
• Content or data you provide through the services

10. Warranty Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the services will be uninterrupted, error-free, or completely secure.

11. Governing Law & Jurisdiction

You consent to the personal jurisdiction of such courts and waive any objection based on inconvenient forum.

12. Dispute Resolution

Before initiating any legal action, you agree to contact us at jake@recruitforge.ai and attempt to resolve the dispute informally for at least 30 days.

13. Changes to These Terms

We may modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website
• Updating the "Last updated" date
• Sending notice to your registered email for significant changes

Continued use of the services after changes constitutes acceptance of the modified Terms.

14. General Provisions

• Entire Agreement: These Terms, along with your service agreement and Privacy Policy, constitute the entire agreement between you and RecruitForge.
• Severability: If any provision is found unenforceable, the remaining provisions continue in effect.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our consent. We may assign our rights to a successor entity.
